Electronic Delivery Agreement

Please read and accept the following revised agreement effective November 2012.

Electronic Delivery Agreement for Account Access:

1. Your authorization and consent to electronic delivery.

By clicking "Accept" below, you are authorizing Franklin Templeton Investments (FTI), and the Franklin Templeton Funds and their agents, to act on electronic instructions received for your preferred method of delivery for important shareholder documents related to your Account(s).

By enrolling in FTI's electronic delivery program, you are consenting to receive electronic delivery (through our website at franklintempleton.com.), and to stop U.S. mail delivery of the paper versions, of any or all of the following categories of documents and any related documents:

  • Fund summary prospectuses, prospectuses and supplements, annual and semiannual reports and other periodic reports to shareholders, and proxy materials.
  • Quarterly Asset Summary Statements and the annual Privacy Policy Notice. (Including 529 College Savings Plan Statements)
  • Transaction confirmations ("confirms") including 529 College Savings Plan and Money Fund confirmation statements.
  • Tax Documents (Tax Forms including 1099DIV, 1099B, 1099R, 1099Q, 5498 & 5498ESA)

Please note, when you select electronic delivery of Quarterly Asset Summary Statements, you are also consenting to receive electronic delivery of any prospectus supplements or other fund notifications that may be included in the Asset Summary Statement. Similarly, when you select electronic delivery of transaction confirmation, you are also consenting to receive electronic delivery of any summary prospectus or prospectus that is required to accompany the transaction confirmation. Of course, you may also receive the same prospectus through the U.S. mail.

You may still obtain a paper copy of any important shareholder document listed above, at no charge, by contacting Shareholder Services at (800) 632-2301. In addition, you may order any fund prospectus or shareholder report online at franklintempleton.com.

2. We'll notify you by email.

We'll send an email to the address you've provided, to notify you when a new shareholder document is available on our website and indicate the category of document. The email will provide a link to a sign in page for the site's secure shareholder area.

3. Participant obligations.

You must maintain a valid email address with us as a condition of participating in our electronic delivery program. You can update your email address at any time by clicking the "Update My Profile" link. Your participation in our electronic delivery program is also subject to your maintaining your sign in privileges and the terms of your Electronic Services Agreement covering account view and/or transactions.

4. Timing and availability of documents online.

The time it takes to process your change from U.S. mail delivery to electronic delivery varies depending on the documents you select, as does the amount of time the document is available on the site.

  • Fund Prospectuses and supplements, annual and semiannual reports and other periodic reports to shareholders, and proxy materials. When you select these documents, we will reflect the change to electronic delivery within 1 business day on average, although it could take up to 8 weeks for U.S. mail deliveries to stop. Fund prospectuses and reports will be available on our site until their next update. Proxy materials are available until the shareholder meeting has ended.
  • Quarterly Asset Summary Statements and the annual Privacy Policy Notice. When you select these documents, we will reflect the change to electronic delivery within 1 business day on average, although it could take up to 2 weeks for U.S. mail deliveries to stop.
  • Transaction confirmations. When you select these documents, we will reflect the change to electronic delivery within 1 business day on average, although it could take up to 2 weeks for U.S. mail deliveries to stop. You can currently view your most recent 12 months of transactions.
  • Tax Documents. When you select these documents, we will reflect the change to electronic delivery within 1 business day on average, although it could take up to 2 weeks for U.S. mail deliveries to stop.

5. Hardware and software needed.

To view your documents, or download or print them for future reference, you will need the computer hardware and software described in our site's Website Requirements area, including a printer with graphics capabilities. This site works best with the following browsers and operating system: Microsoft Internet Explorer® 7, 8, and 9 on Windows; or Mozilla Firefox® 8.0 on Windows; or Safari 5.0 on MAC OS, or Chrome 16 on Windows. Current versions of these browsers are available for free. Some documents, such as fund prospectuses and reports, may be available online only in PDF ("Portable Document Format"). To view a PDF, you'll need Adobe Acrobat® Reader which your browser may already provide or which you may download free from Adobe's site at www.adobe.com. If you need technical assistance, you may contact Shareholder Services at (800) 632-2301. Downloading speeds may vary depending on your Internet connection. You may want to test your connection to our site and your viewing, downloading, or printing experience before agreeing to electronic delivery.

By clicking "Accept," below, you represent that you have the necessary computer hardware and software to view, download and print any documents you elect to receive electronically under this Agreement. This representation will continue throughout the term of this Agreement, unless you notify us otherwise.

6. No fees for site use.

Franklin Templeton Investments does not charge you any fees for using our site, but you may incur Internet access or other related charges from third parties, such as your electronic service provider.

7. Mobile Devices.

Be aware that the documents available through FTI's electronic delivery program may not appear accurately on all mobile devices or through other access methods and you use them only at your own risk. FTI does not manufacture the devices or operate the wireless services. FTI disclaims any responsibility for the capabilities or reliability of any equipment or software used to access the site or any documents available through the FTI electronic delivery program. Your wireless data usage is subject to the fees and terms of your wireless subscriber agreement or data service plan.

Use of the site may involve the electronic transmission of information across the networks of your wireless service provider. Because we do not operate or control the wireless networks used to access the site, we cannot guarantee the privacy or security of wireless data transmissions. Additionally, for mobile phones, the browser is generally pre-configured by your wireless internet service provider. Check with your wireless service provider for information about their privacy and security practices.

FTI will not be liable to you if circumstances beyond our control prevent the transaction or interfere with the integrity of the transmission, including, without limitation, unavailability of your wireless service, network delays, limitations on wireless coverage, system outages, or interruption of a wireless connection. FTI disclaims any responsibility for any wireless service used to access the site.

8. Not all accounts or all Franklin Templeton Funds can participate.

Depending on your specific situation, some exceptions to electronic delivery may apply. For example, trust or business accounts or retirement plans for which Franklin Templeton is not the trustee, sponsor or record keeper currently cannot participate.

9. No warranties.

We take all reasonable measures to ensure the material on the site is as accurate and timely as possible and that disruptions of service are minimal. But Franklin Templeton makes no warranty or guarantee concerning the transmissions of emails, the availability of this website, or the services or information on it other than as required by law. There are possible risks with electronic delivery. On rare occasions, problems may arise, such as emails failing to transmit, links failing to function properly, or a system failure at your online service provider.

10. Service or Agreement changes.

Franklin Templeton Investments may change the online delivery services we offer on our website. We may also amend the terms of this Agreement at any time without prior notice to you.

11. Service or Agreement cancellation.

You may cancel electronic delivery services for any category of documents at any time, by clicking the Update My Profile link and changing your document delivery choice or by calling a FTI representative. You may also cancel all electronic delivery services and revoke your agreement to these terms at any time, by clicking the Update My Profile link and changing all your document delivery choices to U.S. mail or by calling a FTI representative. Your cancellation will be effective within a reasonable period of time after we receive it. Franklin Templeton may discontinue the online delivery services we offer on this website. We may also cancel this Agreement, or your access to our site, at any time without notice to you. You understand that this Agreement and your consent will be effective indefinitely, until you cancel it or it is cancelled by us.

12. Your authority to accept this Agreement.

You agree that you have full authority to accept this Agreement on behalf of each joint owner or tenant-in-common (or co-trustee) on your Account(s). You also agree that each joint owner or tenant-in-common (or co-trustee) has full authority to act individually in all matters relating to this online service.

13. Indemnification.

You agree to make Franklin Templeton Investments and the Franklin Templeton Funds whole for any and all claims, losses, liabilities, and expenses (including attorneys' fees) arising from any use of these online electronic delivery services or your violation of this Agreement. These indemnification obligations will survive the termination of this Agreement.

14. Governing law.

If any provision of this Agreement is invalid or unenforceable under applicable law, the other provisions will remain in full force and effect. This Agreement will be governed and interpreted under the laws of the State of California without regard to its choice of law provisions.

15. Defined names.

"Franklin Templeton" or "Franklin Templeton Investments (FTI)" means Franklin Templeton Distributors, Inc. and/or its affiliates that are the Franklin Templeton Investments corporate group of companies.

"Franklin Templeton Funds" means the investment companies advised or underwritten by Franklin Templeton Investments or its affiliates, and held out as related companies.

"Agreement" refers to this Electronic Delivery Agreement. For purposes of the electronic delivery service, your Franklin Templeton Funds account(s) are only those accounts registered under your social security number or linked to your Asset Summary Statement, including future accounts. (Each defined term may be used collectively or individually as the context may require.)
